The Private Limited Company (LTD), similar to the Italian SRL, is the most common corporate structure in the United Kingdom.

A Public Limited Company must have a minimum issued share capital of £50,000, with at least 25% (£12,500) fully paid.

NOMINEE DIRECTORS

British limited companies can be managed through a nominee director, a fiduciary director. This fulfill all the company’s administrative obligations, ensuring that the beneficial owner remains free from bureaucratic responsibilities and their name does not appear in public registers. The nominee director signs company documents but does not have executive powers and cannot take any action except under the specific instructions of the beneficial owner. The nominee director may act and perform only the duties authorized in the so-called “Declaration of Trust”—a legal document establishing a trust between the nominee and the beneficial owner. In the unlikely event that the nominee director acts independently, they would face serious administrative, civil, and criminal consequences.

NOMINEE SHAREHOLDERS

A limited company can have a nominee shareholder, i.e., a fiduciary shareholder, who may be an individual or a company. Their role is purely administrative and aimed at protecting privacy, as they appear in public registers. Through a “Declaration of Trust,” the nominee shareholder declares that they hold and manage the shares on behalf of the beneficial owner. Therefore, the nominee shareholder is not the owner of the company but simply the person or entity listed in the public records.

The ultimate beneficial owner (Last Beneficiary) will have the power of attorney to conduct activities on behalf of the company and to sign all documents as if they were the director or shareholder themselves. The name of the beneficial owner will appear only in our internal nominee agreement and in the bank records, of which a copy will be provided, thus ensuring complete privacy.

THE ANGLO-SAXON TRUST

INTERNATIONALISATION

The Anglo-Saxon trust is a legal institution of the Anglo-Saxon system, or Common Law. It has existed for over five hundred years and is used to regulate a wide range of property-related legal relationships, such as the isolation and protection of assets or controlled asset management. The key roles, or more precisely the “legal positions,” in a trust are generally three:

1. Settlor or Grantor is the person who creates or establishes the trust.

2. The Trustee act as the administrator or manager.

3. Beneficiary is the ultimate recipient of the trust benefits.

The settlor or grantor is the person who creates or establishes the trust. The trustee acts as the administrator or manager. The settlor transfers the company or assets to the trustee, who has the power and duty to manage them according to the rules set out in the Declaration of Trust, as determined by the settlor, for the benefit of a third party, the beneficiary. An optional role is that of the Protector, who oversees certain aspects of the trust. Legal positions and individuals do not necessarily coincide: the same person can hold multiple positions (for example, in a self-declared trust, where one person acts as both settlor and trustee), and multiple individuals can occupy the same position (as in a trust with multiple settlors or trustees).
